1. AGREEMENT TO TERMS

These Terms and Conditions constitute a legally binding agreement between you and Brainwave D.O.O. (“Company,” “we,” “us,” or “our”), concerning your access to and use of the Crush Signals mobile application, website, and related services (collectively, the “Services”). By downloading, installing, accessing, or using the Services, you agree to be bound by these Terms.

If you do not agree to all of these Terms, you must not use the Services.

Crush Signals is operated from North Macedonia. Our registered office is in Kumanovo, North Macedonia.

We may update these Terms from time to time. When we do, we will update the “Last updated” date above. Your continued use of the Services after updated Terms become effective means you accept those changes.

The Services are intended only for users who are at least 18 years old. By using Crush Signals, you confirm that you are 18 or older.


2. INTELLECTUAL PROPERTY RIGHTS

Unless otherwise indicated, the Services and all related source code, software, design, text, graphics, audio, video, trademarks, logos, and functionality are owned by us or licensed to us and are protected by applicable intellectual property laws.

We grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for your personal, non-commercial use, subject to these Terms.

Except as expressly permitted in these Terms, you may not copy, reproduce, distribute, modify, create derivative works from, publicly display, republish, transmit, sell, license, or exploit any part of the Services without our prior written permission.


3. USER REPRESENTATIONS

By using the Services, you represent and warrant that:

(1) you are at least 18 years old;
(2) you have the legal capacity to agree to these Terms;
(3) the information you provide is accurate and current;
(4) you will use the Services only for lawful purposes;
(5) you will not impersonate another person or create a misleading identity;
(6) you will comply with all applicable laws and regulations.

If any information you provide is false, misleading, incomplete, or outdated, we may suspend or terminate your account.


4. ACCOUNT REGISTRATION AND SECURITY

To use certain features, you may need to create an account or sign in using a supported authentication method, such as Apple or Google.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us promptly if you believe your account has been accessed without authorization.

You may not transfer, sell, or assign your account to another person.


5. HOW CRUSH SIGNALS WORKS

Crush Signals is a location-based social connection app. Users may become discoverable to nearby users and may send a “Crush” signal to people in the same area.

A chat is not opened automatically between strangers. Chat becomes available only after the app’s mutual confirmation flow is completed.

We do not guarantee that any Crush signal will result in a match, response, or conversation. Availability depends on many factors, including location accuracy, user settings, timing, and service conditions.

Crush Signals is not a guarantee of compatibility, identity, or intent. You are solely responsible for how you choose to interact with other users.


6. LOCATION AND DISCOVERABILITY

Crush Signals uses location data to provide nearby discovery and related functionality. Some features require access to your device location, including precise location where supported.

If you enable discoverability or features such as Tonight Mode, your temporary presence may remain active for a limited period, including while the app is in the background, to support the intended functionality of the Services.

You can disable discoverability through the app settings. Disabling discoverability may limit or disable core app features.

Location information is used only for app functionality, safety, system integrity, and service improvement, as described in our Privacy Policy.


7. CHAT AND USER CONTENT

Users may exchange messages only after a mutual connection is established through the app’s interaction flow.

You are solely responsible for any content you send through the Services, including messages, descriptions, profile text, or other content you provide.

You agree that your content will not:

• be false, deceptive, or misleading;
• infringe the rights of another person;
• contain harassment, threats, hate speech, or unlawful content;
• contain sexual exploitation, child abuse material, or content involving minors;
• contain spam, scams, solicitation, or commercial promotion not authorized by us.

Chat content is temporary and may be automatically deleted after approximately 24 hours, except where retention is necessary for moderation, reporting, legal compliance, or safety investigation purposes.


8. PROHIBITED ACTIVITIES

You agree not to:

• create fake accounts or impersonate another person;
• use photos, identities, or information that do not belong to you;
• scrape, copy, harvest, or collect user data from the Services;
• use bots, scripts, or automation to access or interact with the Services;
• reverse engineer, decompile, or tamper with the app or backend systems;
• interfere with app security or attempt unauthorized access;
• send spammy, abusive, fraudulent, or misleading Crush signals or messages;
• harass, stalk, threaten, intimidate, or exploit another user;
• upload malware, malicious code, or disruptive content;
• use the Services for illegal, harmful, or commercial purposes not approved by us.

Violation of this section may result in account suspension, removal, or legal action.


9. REPORTING, BLOCKING, AND SAFETY

Crush Signals includes tools that allow users to report inappropriate behavior and block other users.

We may review reports, restrict accounts, suspend access, or remove content where necessary to protect users and the platform. We are not obligated to resolve every dispute between users, but we reserve the right to investigate and act in our sole discretion.

Users are responsible for exercising judgment and caution in any real-world interaction. We do not conduct background checks on all users, and we do not guarantee the truthfulness of user identities or profile information.


10. SUBSCRIPTIONS, PURCHASES, AND BILLING

Certain features of Crush Signals may require a paid subscription or in-app purchase. Pricing, billing cycles, trial terms, and included features are shown in the app at the time of purchase.

Subscriptions purchased through Apple App Store or Google Play are managed by the applicable app store, and your billing relationship for those purchases is with that platform.

Unless otherwise stated, subscriptions renew automatically until cancelled through your Apple or Google account settings.

We may change prices, plans, or available features in the future, but any such changes will not retroactively affect an already-paid billing period.

Refund requests are handled by the app store through which the purchase was made, subject to their rules and policies.


11. MOBILE APPLICATION LICENSE

Use License

If you access the Services via our mobile application, we grant you a limited, revocable, non-exclusive, non-transferable license to install and use the application on devices owned or controlled by you, strictly in accordance with these Terms.

You shall not:

(1) decompile, reverse engineer, disassemble, or attempt to derive the source code of the app, except where expressly permitted by law;
(2) modify, adapt, translate, or create derivative works based on the app;
(3) use the app in violation of any applicable law or regulation;
(4) remove or obscure copyright, trademark, or proprietary notices;
(5) use the app for commercial exploitation not approved by us;
(6) use the app in any way that interferes with the integrity or security of the Services.

Apple and Android Devices

If you download the app from the Apple App Store or Google Play, you acknowledge that the applicable app distributor is not responsible for providing support or maintenance unless required by law. You also acknowledge that app distributors are third-party beneficiaries of these Terms to the extent applicable to the mobile application.


12. THIRD-PARTY SERVICES

The Services may rely on third-party services such as Apple, Google, cloud hosting providers, authentication providers, analytics tools, and push notification providers. Your use of those services may also be subject to their own terms and privacy practices.

We are not responsible for the content, policies, or practices of third-party services that are not under our control.


13. SITE MANAGEMENT AND ENFORCEMENT

We reserve the right, but not the obligation, to:

(1) monitor the Services for violations of these Terms;
(2) investigate suspected abuse, fraud, or harmful conduct;
(3) restrict or remove access to content or accounts;
(4) preserve or disclose information when reasonably necessary to protect users, enforce these Terms, or comply with legal obligations;
(5) manage the Services in a way designed to preserve safety, security, and proper function.


14. PRIVACY POLICY

We care about privacy and security. Please review our Privacy Policy at crushsignals.app/privacy. By using the Services, you agree that our Privacy Policy is incorporated into these Terms.


15. TERM AND TERMINATION

These Terms remain in effect while you use the Services.

We may suspend, limit, or terminate your account or access to the Services at any time, with or without notice, if we believe you have violated these Terms, created risk to users or the platform, acted unlawfully, or engaged in harmful behavior.

You may stop using the Services at any time. You may also delete your account directly in the app.


16. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, including features, content, and availability.

We do not guarantee uninterrupted operation of the Services. We may experience delays, outages, maintenance periods, technical failures, or interruptions beyond our control.


17. GOVERNING LAW

These Terms are governed by and interpreted in accordance with the laws of North Macedonia, without regard to conflict of law principles. If you are a consumer residing in the European Union, you may also benefit from any mandatory protections provided by the law of your country of residence.


18. DISPUTE RESOLUTION

If you have a concern or dispute relating to the Services, you agree to first contact us and attempt to resolve the matter informally.

If a dispute cannot be resolved informally, it shall be subject to the competent courts of North Macedonia, unless mandatory consumer protection law provides otherwise.

If you are an EU consumer, you may also use the European Commission’s online dispute resolution platform: https://ec.europa.eu/consumers/odr.


19. DISCLAIMERS

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not guarantee:

• that the Services will always be available, secure, or error-free;
• that location results or nearby discovery will always be accurate;
• that another user is truthful, genuine, safe, or acting in good faith;
• that a Crush signal, match, or chat will result in any response or outcome.

Use of the Services and any offline interaction with other users is at your own risk.


20. LIMITATION OF LIABILITY

To the maximum extent permitted by law, we and our directors, officers, employees, contractors, and affiliates shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, loss of data, loss of opportunity, personal injury, or property damage arising out of or relating to your use of the Services.

Our total liability to you for any claim arising out of or relating to the Services shall not exceed the greater of: (1) the amount paid by you to us in the three (3) months before the event giving rise to the claim, or (2) EUR 50.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.


21. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Brainwave D.O.O. and its affiliates, officers, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable legal fees, arising from:

(1) your use of the Services;
(2) your violation of these Terms;
(3) your violation of the rights of another person;
(4) any harmful, abusive, or unlawful conduct by you toward another user.


22. USER DATA AND RETENTION

We maintain certain data to operate and improve the Services, as further described in our Privacy Policy. Some information, such as location presence, Crush interactions, and chat content, is intentionally retained only for limited periods.

Although we use reasonable safeguards and backups, you acknowledge that no system is fully immune from failure, and we are not responsible for data loss beyond what is required by law.


23. ELECTRONIC COMMUNICATIONS

By using the Services, sending emails, or interacting with us electronically, you consent to receive communications from us electronically, including notices, disclosures, and updates. You agree that such communications satisfy any legal requirement that communications be in writing.


24. CALIFORNIA USERS AND RESIDENTS

If any complaint with us is not satisfactorily resolved, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by telephone at (800) 952-5210 or (916) 445-1254.
